o Drafts and negotiates contracts and agreements with worldwide clients and suppliers.
o Creates and optimizes contract templates. Verifies contracts (Summary of Agreements/Issues Lists).
o Offers risk analysis and legal counsel on general compliance matters.
o Completes due diligence (legal research).
o Designs, implements and trains on policies.
o Offers legal and commercial advice on matters of employment, fiscal responsibilities, and transactions.
o Manages document repositories including Data Room.
o Manages corporate administration (i.e., annual filings), board administration (i.e., annual shareholder meeting minutes) and the corporate insurance policies.
o Advises on protection of intellectual property.
o Assists Finance VP with human resource activities (i.e., state payroll tax set up).
o Manages and supervises legal interns.
o Works with outside counsel on specific matters (i.e., trade compliance).
o Works together with parent company corporate counsel on select contracts and other legal matters.
Requirements
o JD preferred with Bachelors + Masters in business related field with a strong academic record and extensive experience with commercial contracts.
o Experience in the manufacturing sector preferred.
o Hands on drafting/redlining experience.
o Must be highly organized, detail oriented, thorough and thrive in a fast paced, deadline driven environment.
o Experience successfully working in a worldwide, fully remote position with remote managerial and/or project management experience.
o Experience in an office environment working with MSWord, Outlook, Teams and Adobe Acrobat Pro is a plus. Presentation and client negotiation skills needed.
o Occasional availability in evenings for meetings with the China based corporate legal team and clients based in Asia.
o Chinese language will be a plus.
